Terms of Service

These Terms of Service ("Terms") govern your use of Laplace GTM, the AI sales agent available at laplace-gtm.com (the "Service"). The Service is provided by Individual Entrepreneur Aleksandr Nekrashenko, registered in Georgia (identification code 300484820, registration no. B26431854), Ts. Dadiani str. 34, bl. 7, building 10, Nadzaladevi district, Tbilisi 0102, Georgia ("Laplace", "we", "us").

By creating an account, buying credits or using the Service, you agree to these Terms on behalf of yourself and the business you represent ("you", "Customer"). If you do not agree, do not use the Service.

1. The Service

Laplace GTM is software that helps businesses find customers. Based on the website you provide, the Service:

  • researches your company, your market and your competitors;
  • suggests campaigns and finds companies and decision makers that match them;
  • finds and verifies business email addresses for those people;
  • writes personalized emails for your review;
  • sends them from sending infrastructure operated by us (see section 6), follows up, and sorts the replies;
  • helps you answer replies and keep track of each contact.

The Service is in active development. Features may change, and some steps (for example, sending) may be added, limited or turned off while we improve them.

2. Who may use the Service

  • The Service is for business use only. You must be at least 18 years old and authorized to act for the business you represent.
  • You may use the Service only to promote your own lawful business, products or services.
  • You may not use the Service if you are barred from doing so by applicable law, including sanctions.

3. Accounts

  • Your account is created with the email address you use at checkout. We send sign-in links to that address; keep access to it secure.
  • You are responsible for everything done under your account and by people you invite to your workspace.
  • Tell us right away at [email protected] if you think someone has accessed your account without permission.

4. Credits, prices and payment

  • The Service works on prepaid credits. You buy credits in advance; credits are used as the Service sends emails on your behalf, only for emails that are actually sent. Research, prospect lists and drafts are free.
  • Prices may change. A change never affects credits you have already bought; we will show new prices before you buy.
  • Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles payment, invoicing, sales tax and VAT, and payment-related customer service. Paddle's buyer terms apply to your purchase.
  • Credits do not expire while your account is active. Credits have no cash value and cannot be transferred, except as described in our Refund Policy.
  • When your balance runs out, sending stops until you add credits.

5. Refunds

  • Before the first email is sent from your account, you can get a full refund of your credits within 14 days of the purchase.
  • Once sending has started, credits are not refundable. Duplicate charges and emails charged but not sent are always corrected.
  • The details are in our Refund Policy, which is part of these Terms. Paddle may also refund a purchase under its buyer terms.

6. How the Service sends emails

  • Emails are sent on your behalf and in your name: the signature shows you and your company. They are sent from mailboxes and domains we operate for this purpose and assign to one customer at a time, not from your own domain, so your domain's reputation is not put at risk. Each email states that it is sent on behalf of your company and includes our sending brand, your company's postal address and a one-click unsubscribe link.
  • To protect deliverability for all customers, we decide how many emails go out, when, and from which mailbox. We may limit volume, delay or pause sending, skip contacts, or refuse to send content that we believe breaks these Terms or the law.
  • People who unsubscribe, ask not to be contacted, or whose addresses bounce are added to a suppression list and will not be contacted again on your behalf. We may also stop contacting them for other customers.
  • We do not guarantee that any email will be delivered, opened or answered, or that you will get meetings or sales.

7. Your responsibilities

You are the advertiser behind every email sent for you. You agree that:

  • your messages are truthful: your company, product, offer and claims are real and accurately described, and subject lines are not misleading;
  • you provide a valid postal address for your business, which is included in your emails;
  • you review the emails the Service drafts and are responsible for their content once you approve or allow them to be sent;
  • you will honor unsubscribe and do-not-contact requests that reach you directly, and tell us about them;
  • you comply with all laws that apply to your outreach, including the U.S. CAN-SPAM Act and applicable privacy and consumer protection laws.

8. Acceptable use

You may not use the Service to:

  • promote anything illegal, or adult content, gambling, weapons, drugs, tobacco or vaping, cryptocurrency or investment schemes, loans or debt relief, multi-level marketing, "get rich quick" offers, or other high-risk or regulated products we tell you we do not support;
  • send messages that are deceptive, harassing, threatening, defamatory or discriminatory, or that impersonate someone else;
  • contact consumers for personal, family or household purposes (the Service is for business-to-business outreach only);
  • send to lists you bought, rented or scraped outside the Service, or add contacts who have not been sourced or allowed by the Service;
  • resell, export in bulk, or build your own database from contact information provided by the Service, or use it for anything other than your outreach through the Service and the business conversations that follow;
  • probe, overload or interfere with the Service, reverse engineer it, or access it by automated means except through features we provide;
  • break the law or the rights of others.

We may suspend or close accounts that break these rules, without refund of credits used for breaking them.

9. Contact information we provide

The Service finds business contact information from public sources and data providers, as explained in our Privacy Policy. We take care to find accurate, current, work-related information, but we do not guarantee that every name, title or email address is correct. You may use it only as described in section 8.

10. AI-generated content

The Service uses AI models to research, write and classify. AI output can be inaccurate or incomplete. Check important facts before relying on them, and review drafts before they are sent.

11. Your data

  • You keep all rights to the information you provide and the content created for you ("Customer Data"). You allow us to use Customer Data to provide, secure and improve the Service.
  • We handle personal data as described in our Privacy Policy.
  • We use service providers (for example, for hosting, AI models, email delivery and payments) who process data for us under appropriate safeguards.

12. Our property

The Service, its software, design and content (other than Customer Data) belong to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms. If you send us feedback, we may use it without obligation to you.

13. Suspension and termination

  • You can stop using the Service at any time and ask us to close your account at [email protected].
  • We may suspend or terminate your access if you break these Terms, if your use creates legal, security or deliverability risk, or if required by law or by Paddle. Where reasonable, we will tell you first.
  • After closure we delete or anonymize your Customer Data within a reasonable period, except data we must keep by law and suppression records we keep so that people who opted out are never contacted again.

14. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise any particular number of replies, meetings, sales or deliverability results.

15. Limitation of liability

To the fullest extent the law allows:

  • we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill;
  • our total liability for all claims relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

16. Indemnity

You will defend and hold us harmless from claims brought by third parties arising from your emails, your offer, your breach of these Terms or your violation of law.

17. Changes to these Terms

We may update these Terms. We will post the new version on this page with a new date and, for material changes, notify you by email at least 14 days before they take effect. Continuing to use the Service after that means you accept the new Terms.

18. Governing law and disputes

These Terms are governed by the laws of Georgia. Disputes will be resolved by the courts of Tbilisi, Georgia, unless mandatory law where you are located says otherwise. Before going to court, please contact us so we can try to solve the problem informally.
